Beta Participation Agreement

1. Introduction
Thank you for your interest in the PaxPilot Beta Program! This Beta Participation Agreement ("Agreement") governs your participation in our beta testing program and supplements the PaxPilot Terms of Service and Privacy Policy.
By checking the beta agreement box during registration or by using the beta version of PaxPilot, you agree to be bound by this Agreement.
2. Beta Program Purpose
The PaxPilot Beta Program is designed to:
- Test and validate new features before general release
- Gather feedback to improve the product
- Build relationships with early customers
- Establish reference customers for case studies
3. Eligibility
To participate in the Beta Program, you must:
- Operate an active fleet with at least 3 vehicles
- Be authorized to bind your organization to this Agreement
- Not be a competitor or affiliated with a competitor
- Agree to provide regular feedback
4. Beta Cohorts
Beta participants are organized into cohorts with different benefits and obligations:

Your cohort assignment will be communicated at the time of registration.
5. Legacy Pricing Lock-In
5.1 Locked Pricing
As a beta participant, you receive legacy pricing that remains locked indefinitely:
- Your locked rate applies to your first 10 vehicles
- Vehicles 11 and beyond are charged at standard pricing at the time of expansion
- Your locked pricing follows your organization, not individual accounts
- There is no annual commitment required during or after beta
5.2 Pricing Example
Example: If you join as an Early Adopter ($49/vehicle):
- Vehicles 1-10: $49/vehicle/month (forever)
- Vehicles 11+: Standard pricing at time of expansion (currently $99/vehicle)
5.3 Savings Guarantee
Beta participants receive a permanent 25% discount on their first 10 vehicles compared to standard pricing, resulting in approximately $2,400/year in savings.
6. Participant Obligations
6.1 Feedback Requirements
Based on your cohort, you agree to:
Founding Partners:
- Participate in weekly 30-minute calls with our product team
- Respond to feedback requests within 48 hours
- Allow on-site visits for user research (with advance notice)
Early Adopters:
- Complete monthly product surveys
- Participate in quarterly NPS assessments
- Be available for occasional user interviews
Growth Cohort / Late Beta:
- Complete quarterly product reviews
- Report bugs and issues promptly
- Respond to support requests for feedback
6.2 Bug Reporting
You agree to report bugs, errors, and issues through our designated channels promptly upon discovery.
6.3 Testimonials and Case Studies
With your approval, we may request:
- Written testimonials for marketing use
- Participation in case studies
- Logo usage for customer references
You are not obligated to participate, and we will seek your approval before any public use.
7. Beta Software Disclaimers
7.1 "AS IS" Software
IMPORTANT: The beta version of PaxPilot is provided "AS IS" without warranties of any kind. Beta software:
- May contain bugs, errors, and incomplete features
- May experience downtime and data issues
- May change significantly before general release
- Is not guaranteed to perform consistently
7.2 Feature Changes
We may:
- Add, modify, or remove features at any time
- Change the user interface without notice
- Alter pricing tiers and feature allocations
- Discontinue beta features that don't perform well
7.3 Data Considerations
While we maintain regular backups:
- Data loss is possible during beta
- You should maintain your own backup procedures
- We recommend not using beta for mission-critical operations initially
7.4 Not for Safety-Critical Decisions
CRITICAL WARNING: The PaxPilot platform is a tool to assist with fleet management. During beta especially:
- Do not rely solely on the platform for safety decisions
- Maintain manual backup procedures
- Verify critical information independently
- The platform supplements, not replaces, human judgment
8. Confidentiality
8.1 Confidential Information
As a beta participant, you may receive confidential information, including:
- Unreleased features and roadmap
- Beta pricing and program details
- Internal performance metrics
- Security and infrastructure details
8.2 Your Obligations
You agree to:
- Keep confidential information private
- Not share screenshots of unreleased features
- Not discuss beta pricing with non-participants
- Not share beta access credentials
8.3 Exceptions
This confidentiality does not apply to:
- Information that becomes publicly available
- Information you knew before beta participation
- Information required to be disclosed by law
9. Intellectual Property
9.1 Feedback License
Any feedback, suggestions, or ideas you provide become the property of PaxPilot. We may use such feedback for any purpose without compensation or attribution.
9.2 No Implied Rights
Participation in the beta does not grant you any intellectual property rights in the Service beyond the limited license to use it.
10. Transition to General Availability
10.1 GA Announcement
We will provide at least 30 days notice before transitioning from beta to general availability (GA).
10.2 Post-Beta Terms
After GA:
- Your legacy pricing lock remains in effect
- You will be subject to the then-current Terms of Service
- Beta-specific features may become paid add-ons
- This Agreement terminates (but pricing locks survive)
10.3 No Penalty for Exit
You may choose not to continue after beta ends with no penalty. You will have 30 days to export your data.
11. Termination
11.1 Termination by You
You may terminate your beta participation at any time by contacting [email protected] with 14 days notice.
11.2 Termination by PaxPilot
We may terminate your participation:
- Immediately for breach of this Agreement
- Immediately if you fail to meet feedback requirements
- With 14 days notice for any other reason
11.3 Effect of Termination
Upon termination:
- Your access to the beta will cease
- You will have 30 days to export your data
- Confidentiality obligations survive for 2 years
- You forfeit any locked pricing benefits
12. Limitation of Liability
12.1 Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAXPILOT SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM YOUR USE OF THE BETA SOFTWARE, INCLUDING:
- Direct, indirect, incidental, or consequential damages
- Lost profits, data, or business opportunities
- Damages resulting from bugs, errors, or downtime
12.2 Maximum Liability
Our maximum liability under this Agreement is limited to:
- $100 USD, or
- The total fees you have paid us, whichever is less
12.3 Acknowledgment
You acknowledge that beta software carries inherent risks and that you are participating voluntarily with full knowledge of these risks.
13. Indemnification
You agree to indemnify and hold harmless PaxPilot from any claims arising from:
- Your use of the beta software
- Your breach of this Agreement
- Your violation of any law or third-party rights
- Actions of your employees or contractors using the Service
14. Agreement Acceptance
By checking the beta agreement box during registration:
- You confirm you have read and understood this Agreement
- You confirm you have authority to bind your organization
- You agree to be bound by all terms herein
- Your acceptance is recorded with a timestamp
15. Changes to This Agreement
We may modify this Agreement with 14 days notice. Material changes will be communicated via email. Continued participation after changes take effect constitutes acceptance.
